Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) are a legal agreement between [Legal Entity Name] (“Btape”, “we”, “us”) and the organization and individuals who access or use the Btape platform (“you”, “Customer”). By creating an account or using the service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind it.

2. The service

Btape is a software platform that helps Tarion-registered Ontario residential builders run Pre-Delivery Inspections (PDIs), track and resolve deficiencies, and manage warranty/compliance workflows. We may update, improve, or change features of the service over time.

3. Not legal, warranty, or Tarion advice

Btape is an operational tool, not a substitute for professional, legal, or regulatory advice. We are not affiliated with, endorsed by, or acting on behalf of Tarion or the HCRA. Btape does not guarantee Tarion compliance, warranty outcomes, or that any home meets statutory or contractual requirements. You remain solely responsible for your obligations under the Ontario New Home Warranties Plan Act, Tarion and HCRA requirements, and your agreements with homeowners and purchasers.

4. Accounts and organizations

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information, keep it current, and promptly notify us of any unauthorized use. Organization administrators are responsible for managing their members' roles and access.

5. Acceptable use

• Do not use the service to violate any law or third-party rights.
• Do not upload malicious code, attempt to breach security, or disrupt the service.
• Do not reverse engineer, resell, or provide the service to third parties except as permitted.
• Do not upload content you do not have the right to share, or that is unlawful or infringing.

6. Customer data and responsibilities

You retain ownership of the data you and your organization submit to Btape (“Customer Data”), including project, inspection, deficiency, and people records. You grant us a limited license to host, process, and use Customer Data solely to provide and support the service. You are responsible for the accuracy of Customer Data and for obtaining any necessary consents from homeowners, purchasers, and trades whose personal information you enter. Our handling of personal information is described in our Privacy Policy.

7. Share links

Btape lets you generate secure links so trades and inspection participants can complete tasks without an account. You are responsible for who you share these links with and for the information disclosed through them.

8. Fees and pilots

Some access may be offered under a pilot, beta, or founding-builder program, which may have specific or promotional terms. Paid plans, fees, and billing terms will be set out in an order form or plan description. Except as required by law or expressly stated, fees are non-refundable.

9. Intellectual property

Btape and all related software, design, and content (excluding Customer Data) are owned by us and our licensors and are protected by intellectual property laws. These Terms do not grant you any rights in Btape except the limited right to use the service as described here.

10. Third-party services

The service may rely on or integrate with third-party providers (for example, hosting, storage, and email delivery). We are not responsible for third-party services, and their use may be subject to their own terms.

11. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the fullest extent permitted by law, Btape will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid us for the service in the [twelve (12)] months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold Btape harmless from claims, losses, and expenses arising from your Customer Data, your use of the service, or your breach of these Terms or applicable law.

14. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or to protect the service. On termination, your right to use the service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted in accordance with our Privacy Policy.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, subject to any non-waivable rights under applicable consumer or local law.

16. Changes to these terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance.
